Terms of Use

These terms govern your access to and use of Keystone’s website, planning tools, AI agents, digital humans, generated materials, hosted websites, and related services.
1. Acceptance and authority
By creating an account, clicking to accept, or using Keystone, you agree to these terms and the Privacy Policy. If you use Keystone for an organization, you represent that you have authority to bind it.
2. Accounts and team access
You must provide accurate information, protect account credentials, and promptly report unauthorized access. Account owners are responsible for invited users, permissions, and activity under their workspace. We may suspend access that creates legal, security, or operational risk.
3. Plans, billing, and changes
Features vary by plan. Paid plans are billed monthly in advance when billing becomes available. Unless required by law or stated at purchase, fees are non-refundable. We may change plans or pricing prospectively with reasonable notice. Taxes may apply.
4. Your content
You retain ownership of content you submit. You grant Keystone and its service providers a non-exclusive, worldwide license to host, copy, transform, transmit, display, and otherwise use that content only as reasonably necessary to operate, secure, improve, and provide the services you request. You represent that you have the necessary rights to submit it.
5. AI agents and generated output
AI and digital-human features may produce incomplete, inaccurate, offensive, or unsuitable output. Output is not legal, tax, investment, medical, employment, or other professional advice. You are solely responsible for reviewing output, obtaining professional advice where appropriate, confirming facts and rights, and deciding whether and how to use, publish, send, or rely on it. Keystone does not guarantee that output is unique or free of third-party rights.
6. Connected services and autonomous actions
When you connect an external service or authorize an agent to act, you are responsible for the permissions and instructions you provide. Actions may affect third-party systems, content, customers, or business operations. Review scopes carefully and maintain appropriate human approval for consequential actions. Third-party services remain governed by their own terms.
7. Acceptable use
You may not use Keystone to violate law or third-party rights; deceive, defraud, harass, or harm; distribute malware; bypass security or access controls; probe or disrupt the service; scrape or resell the service without authorization; generate prohibited content; or represent AI output as professionally verified when it is not.
8. Keystone rights
Keystone and its licensors retain all rights in the service, software, interfaces, branding, models, workflows, and improvements, excluding your content. No rights are granted except those expressly stated.
9. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” KEYSTONE DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RESULTS, AVAILABILITY, AND SECURITY. KEYSTONE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PLAN, WEBSITE, AGENT, RECOMMENDATION, OR OUTPUT WILL PRODUCE A PARTICULAR BUSINESS RESULT.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE AND ITS OPERATORS, AFFILIATES, PERSONNEL, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES; LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL, DATA, OR USE; BUSINESS INTERRUPTION; THIRD-PARTY CLAIMS; OR ACTIONS TAKEN BY YOU, YOUR USERS, OR AI AGENTS, EVEN IF ADVISED OF THE POSSIBILITY.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US$100. THESE LIMITATIONS APPLY ACROSS ALL THEORIES OF LIABILITY AND ALLOCATE RISK BETWEEN THE PARTIES.
11. Indemnification
You will defend, indemnify, and hold harmless Keystone and its operators, affiliates, personnel, licensors, and providers from claims, losses, liabilities, damages, and reasonable costs arising from your content, your use of the services, agent actions you authorize, your violation of these terms, or your infringement of another’s rights.
12. Termination
You may stop using the service at any time. We may suspend or terminate access for breach, risk, nonpayment, legal requirements, or discontinuation. Provisions that by their nature should survive will survive, including ownership, disclaimers, liability limits, indemnity, and dispute provisions.
13. Disputes and general terms
The final launch version will identify the governing law, venue, and any arbitration or class-action waiver after legal review. If part of these terms is unenforceable, the rest remains effective. Failure to enforce a provision is not a waiver. We may update these terms prospectively and provide notice when required.
This document should be reviewed by qualified counsel and completed with the operator’s legal identity, governing law, dispute process, contact details, payment and refund rules, and product-specific compliance terms before public launch.
